1. Acceptance of Terms

By accessing or using GEOnhance ("Service", "Platform"), operated by GEOnhance ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all Terms, you must not access or use the Service. Use of the Service constitutes full acceptance of these Terms.

2. Description of Service & Permission to Audit

GEOnhance provides a suite of SaaS tools for Generative Engine Optimization (GEO), including AI visibility monitoring, brand attribution tracking, citation readiness assessments, and content intelligence reports.

Audit Consent: By submitting a URL for analysis, you represent that you have the legal authority to authorize an audit of that property. You grant GEOnhance a limited, non-exclusive, revocable license to crawl, index, and analyze that property's publicly accessible content solely to generate the requested reports.

3. No Guarantee of AI Rankings or Results

Important Disclaimer: AI language models (LLMs) are non-deterministic systems whose internal indexes, retrieval logic, and citation behaviors are controlled entirely by third-party providers (including but not limited to OpenAI, Google, Perplexity, and Anthropic). These systems are subject to frequent, unannounced changes outside our control.

GEOnhance provides visibility snapshots and optimization recommendations based on current best practices and observed model behavior. We expressly do not guarantee:

• Inclusion in any specific AI-generated response or citation list.
• Consistency or stability of visibility scores over time.
• The accuracy of any third-party AI model's interpretation of your brand or content.
• Any specific commercial outcome, traffic increase, or revenue impact.

4. Billing, Payments & Merchant of Record

All paid plans and transactions on the GEOnhance platform are processed by Dodo Payments, which acts as the Merchant of Record for all purchases made through this Service. By completing a purchase, you agree to Dodo Payments' terms of service and privacy policy in addition to these Terms.

Dodo Payments is responsible for:

• Processing and collecting payment on behalf of GEOnhance.
• Handling applicable taxes, including VAT and sales tax, as required by your jurisdiction.
• Issuing invoices and receipts for your records.
• Managing chargebacks and payment disputes under their merchant policies.

Subscription fees are billed in advance on a recurring monthly or annual basis depending on the plan selected. You authorize Dodo Payments to charge your payment method on the applicable billing cycle until you cancel.

5. Refund Policy

All purchases are final and non-refundable. We do not offer refunds, credits, or pro-rata adjustments for partial subscription periods, unused credits, or features you chose not to use. This includes but is not limited to:

• Monthly or annual subscription fees already charged.
• Platform credits consumed or unused at the time of cancellation.
• Fees paid during any trial period that converted to a paid plan.

Exceptions may be considered solely at our discretion in cases of documented platform-level failures that completely prevented access to core features for an extended period. To request a review, contact info@geonhance.com within 7 days of the charge in question.

6. Cancellation

You may cancel your subscription at any time from your account settings or by contacting info@geonhance.com. Cancellation takes effect at the end of the current billing period. You will retain full access to the Service until that date. No further charges will be made after cancellation. We do not offer refunds for the remaining portion of a billing period upon cancellation.

7. Credit System & Fair Use

Certain platform features (Monitor, Assess, Optimize) consume credits included in your subscription plan or purchased separately.

• Metering: Credits are deducted upon the successful initiation of a job. If a job fails due to a verified platform-level error, credits will be restored automatically.
• Expiry: Credits are valid for the billing period in which they are granted and do not carry over unless otherwise stated in your plan.
• Fair Use: We reserve the right to throttle or suspend access if we detect automated abuse, scraping of the dashboard or API, or usage patterns that significantly exceed normal human-scale usage for your plan tier.

8. Intellectual Property

You retain ownership of your original brand content and property data submitted to the platform. The unique analytical outputs generated by GEOnhance — including but not limited to semantic scores, Semantic DNA maps, citation readiness metrics, and comparative visibility data — are and remain the intellectual property of GEOnhance. You are granted a limited, non-transferable license to use these outputs for your own internal business purposes only.

9. Prohibited Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the underlying analytical logic or scoring models of the GEOnhance engine.
• Use the platform to test prompt injection or adversarial techniques against third-party AI models.
• Resell, white-label, or redistribute GEOnhance reports or outputs without a valid Agency or Enterprise license agreement.
• Share account credentials or allow multiple individuals to use a single-seat subscription concurrently.
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranty of any kind, express or implied. We expressly disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the fullest extent permitted by applicable law, GEOnhance, its directors, employees, contractors, agents, licensors, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, business opportunity, or other intangible losses — arising out of or relating to your access to or use of (or inability to use) the Service, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to GEOnhance in the twelve (12) months immediately preceding the claim.

12. AI Regulatory Compliance

As the regulatory landscape for AI (including the EU AI Act and related legislation) evolves, GEOnhance reserves the right to modify service features or data-processing practices to remain compliant. Continued use of the platform after such modifications constitutes acceptance of the updated practices.

13. Termination

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, if you breach these Terms or engage in conduct we determine, in our sole discretion, to be harmful to the Service, other users, or third parties. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall do so, including intellectual property, disclaimers, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Verona, Italy, unless otherwise required by applicable consumer protection law in your jurisdiction.

15. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on the platform. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
